Music License

Scope and duration

Your purchase grants you a non-exclusive, worldwide licence to use the purchased tracks in an unlimited number of permitted productions, for commercial or non-commercial purposes, without a fixed expiry date. No subscription or recurring licence payment to Matikus is required for those uses. Removal of a track from the catalogue or later changes to this public licence do not by themselves change the licence recorded for your purchase. Statutory rights and the legal effects of a valid withdrawal or termination remain unaffected.

Your productions and client work

You may incorporate the music into videos, livestreams, podcasts, games and comparable productions that you create for yourself or for a client, including paid commissions and monetised productions. You may reproduce, publish, distribute and make those productions available with the music incorporated in them.

You may authorise your client to publish, distribute, display and monetise the completed production containing the music. That permission covers the music only as incorporated in that production. It does not allow the client to extract the track, use it in a different production or license it separately. A client wishing to use the track in other productions must obtain their own licence. You must inform the client of these limits.

Permitted editing

For a permitted production, you may trim, loop, fade, adjust volume, equalise, mix the music with speech or other sounds, and convert its file format. You may use the resulting edit only within the uses permitted by this licence. Editing does not grant exclusive rights or permission to distribute a separate music release. You must not remove or alter provenance markings or metadata for the purpose of concealing or misrepresenting the music's origin.

No separate music distribution

You may not resell, share, sublicense or distribute the original track or an edited version as a standalone music file, music collection, sample pack, stock music product or other source of reusable music. You may not provide the source music file separately to a client. Selling a permitted completed production containing the music is allowed. Simply attaching a static image or nominal video to a track to offer the music as a separate release does not make it a permitted production.

No AI or machine-learning use

You must not use the music, or any edited version of it, to train, fine-tune, test, develop, power or enable artificial-intelligence or machine-learning models, tools or technologies, or as input to such systems for generating other content. You must not include the music in a dataset compiled for those purposes or authorise anyone else to use it in these ways. This does not prevent you from using AI-assisted tools to make the edits listed under Permitted editing within a permitted production.

Content ID and similar systems

You must not register, or authorise anyone else to register, the purchased music or an edited version of it with YouTube Content ID or a similar automated system in a way that claims rights over the music or restricts other licensed users. If you register a completed production to protect your own original material, you must exclude the Loopember music from the material being claimed. Do not submit the production for automated claims if the system cannot make that exclusion.

This restriction does not prevent ordinary publication or monetisation of a permitted production. It does not guarantee that a platform or third party will never raise a claim. If you receive a claim relating to the purchased music, contact loopember@matikus.com with your order number and the claim details so that Matikus can investigate.

Full refunds and termination

If a purchase is fully reversed and its payment is fully refunded, the licence granted by that purchase ends. You must stop using and distributing the music under that licence, including in productions containing it, and inform clients using productions under that purchase's licence. Downloads for that order are disabled. A separate valid licence obtained through another purchase remains unaffected.

A partial refund or price reduction does not automatically end the licence. Any termination affecting only particular tracks must be assessed and communicated separately. A payment dispute or an unverified rights claim does not by itself terminate the licence. Mandatory statutory rights and remedies remain unaffected.

Licence proof and consumer rights

Keep your purchase confirmation and licence proof. The licence is non-exclusive and does not give you exclusive ownership of the track. Nothing in this licence restricts mandatory consumer rights, including remedies if third-party rights prevent the agreed use. The Terms of Sale explain delivery, withdrawal and remedies.
